ServiceChannel Beta Program Terms and Conditions

These Beta Program Terms and Conditions (“Beta Agreement”) govern Customer’s participation in the Beta Program (“Beta Program”) offered by ServiceChannel.com, Inc., or an Affiliate of ServiceChannel.com, Inc. (together with its Affiliates, “ServiceChannel”), either directly or through its Affiliates, for the purpose of evaluating and testing certain pre-release features, functionalities, or services (“Beta Services”). By enrolling in, accessing, or using any Beta Services, Customer agrees to be bound by the terms of this Beta Agreement. Capitalized terms not defined herein shall have the meanings set forth in the ServiceChannel’s Terms of Service (“General Terms”), which are incorporated herein by reference.  These Beta Services are being provided pursuant to Section 2.4 (Beta Services) of the General Terms.

1. PARTICIPATION & ACCESS

1.1 Invitation and Eligibility.  Participation in the Beta Program is by invitation only and is subject to ServiceChannel’s sole discretion. ServiceChannel may establish specific eligibility criteria, including but not limited to industry, market segment, device, operating system, or geographic requirements, which Customer must satisfy to participate.

1.2 Access and Use of Beta Services.  Subject to the terms and conditions of this Beta Agreement and the General Terms, ServiceChannel hereby grants to Customer a limited, non-exclusive, non-transferable, revocable right to access and use the Beta Services solely for the purpose of evaluating and testing such Beta Services in accordance with this Beta Agreement. Customer’s access and use of the Beta Services shall be limited to Customer’s internal business purposes and only by those Users authorized by Customer to participate in the Beta Program. All rights not expressly granted herein are reserved by ServiceChannel and its licensors.  Customer shall not (a) permit any third party to access or use the Beta Services except as expressly permitted herein, (b) use the Beta Services for any purpose other than evaluation and testing, or (c) use the Beta Services in violation of any applicable law, regulation, or the restrictions set forth in this Beta Agreement or the General Terms.

1.3 Limited Access.  Beta Services may be made available to a limited number of participants and may include only a subset of features, functionalities, or participating service providers. ServiceChannel reserves the right to modify, limit, or revoke Customer’s access to the Beta Program at any time, with or without notice.

1.4 Collection and Use of Location Data.To the extent a Beta Service involves the collection or use of location data,   Customer acknowledges and agrees that ServiceChannel may collect, use, transmit, process, and store real-time, precise location data from Customer’s device(s) or those of its authorized users, and enable Customer to see the precise location of applicable Service Contractors. Such location data may be used to enable, improve, or provide the Beta Services, including matching service requests with nearby providers and optimizing service delivery.

1.5 Consent and Device Settings.  To the extent Section 1.4 applies, by participating in the Beta Program, Customer consents to the collection and use of location data as described herein. Customer is responsible for ensuring that its authorized Users have provided any necessary consents and have enabled location services on their devices. Customer may disable location data collection at any time by adjusting device settings; however, disabling location services may limit or prevent access to certain Beta Services.

1.6 Customer/Provider Relationship; Application of Provider Standard Services Agreement.  If Customer uses the Beta Services to identify, select, or engage any service provider (including but not limited to providers introduced, recommended, or made available through the Beta Services), Customer acknowledges and agrees that any such service provider shall be required to agree to the Provider Standard Services Agreement (“PSSA”) as a condition of participating in the Beta Program. By accepting a provider into its network or otherwise engaging a provider through the Beta Services, Customer shall be deemed to have accepted and be contractually bound to the PSSA with respect to such provider, without further execution by Customer. Any additional terms that Customer desires a provider to be bound by, such as additional legal terms or insurance requirements, must be negotiated directly between Customer and the applicable provider. For clarity, Company does not warrant the services of any provider and will not be liable for the acts or omissions of any provider.

2. PURPOSE OF BETA TESTING

Such data may be used in accordance with ServiceChannel’s Privacy Policy.  To the extent a Beta Service involves location data, ServiceChannel will use commercially reasonable efforts to protect the security and confidentiality of location data in accordance with the General Terms (Section 2.3, Protection of Customer Data). Location data will be retained only as long as necessary to fulfill the purposes described herein or as required by law.
